Ms. Michelle Yang is qualified to practice in Hong Kong and the PRC.

Ms. Yang specializes in cross-border compliance, corporate finance, securities, cross-border M&A and NPL disposal transactions in Hong Kong and the PRC. Ms. Yang has represented high-tech startups, Chinese state-owned enterprises, Hong Kong listed companies, multinational banks, securities firms, asset management entities, and reinsurance companies in their compliance matters, investments, equity capital market acquisitions and takeovers and general corporate matters. Ms. Yang’s experience covers industries of financial securities, asset management, robotics and advanced equipment, chip design, pharmaceuticals and healthcare, and industrial digitization.

Ms. Yang is experienced in cross-border compliance. She has assisted renowned Chinese state-owned enterprises and high-tech startups in: (1) improving and optimizing internal compliance systems and corresponding document templates in relation to corporate governance, cross-border labor and employment, personal data (privacy) protection, confidentiality, non-competition and ESOP arrangement; and (2) dealing with investigations initiated by Hong Kong regulatory authorities under the Hong Kong Listing Rules, the Securities and Futures Ordinance (Cap.571) and the Competition Ordinance (Cap.619). Relevant highlighted experience includes*:

  • Advising a state-owned enterprise group on optimizing and aligning its group internal labour and employment compliance system in both Hong Kong and the PRC.
  • Advising a state-owned bank on optimizing and enforcing its internal compliance codes, rules and regulations relating to employment, personal data (privacy) protection and non-competition matters.
  • Advising a Shanghai based energy storage high-tech startup on compliance review and risk management to the non-competition and confidentiality agreements between its key personnel and their respective former employers. 
  • Advising a Shenzhen based robotics and advanced equipment high-tech startup on optimizing and enhancing its internal labour and employment compliance system.
  • Advising a state-owned enterprise on an investigation against it conducted by the Competition Commission of Hong Kong under section 6 (Prohibition of anti-competitive agreements, concerted practices and decisions) of the Competition Ordinance (Cap.619).

Ms. Yang is also extensively experienced in Hong Kong equity capital market transactions, cross-border M&A and private equity transactions and outbound structure design for Chinese enterprises. Particularly leveraging the advantage of being qualified in both Hong Kong and the PRC, Ms. Yang excels in handling the cross-border factors and legal issues involved in complicated cross-border transactions. Her dual educational and professional background equips her with strong cross-cultural communication skills, to effectively coordinate among transaction parties and advance deal process. Ms. Yang has assisted: (1) Hong Kong listed companies in strategic investor introductions, disposal of company shares and assets, and issue of bonds; (2) high-tech startups or financial and industrial investors in multiple rounds of private equity investments; (3) securities firms and asset management companies in the sale or purchase of Hong Kong SFC licenses; and (4) banks or borrower companies in offshore loans with onshore securities or onshore loans with offshore securities. Relevant highlighted experience includes*:

  •  Advising CNE TECH CORP (Stock Code: 0061.HK) on its introduction of strategic investors and transfer of 14.43% equity interest in one of its PRC subsidiaries.
  • Advising CHINA AOYUAN (Stock Code: 03883.HK) on its HKD 100 million acquisition of a PRC real estate project, owned by a Hong Kong subsidiary of YAN TAT GROUP (Stock Code: 1480.HK).
  • Advising a Shandong state-owned biotech group company for its USD 6 million Series A investment to a Hong Kong based biotech startup with a post-money valuation of around USD 33 million.
  • Advising Soochow (Stock Code: 601555.SH) on its more than HKD 400 million acquisition of 100% equity interest in subsidiary of China Investment Securities to apply for being new substantial shareholder of licensed corporations with SFC licenses of types 1, 2, 4, 5, 6 and 9.
  • Advising a state-owned bank on its USD 90 million bank facility to a state-owned enterprise borrower in Hong Kong with the borrower’s PRC group company providing securities in the PRC.

Ms. Yang has advised some of the leading Chinese state-owned banks and asset management companies on their disposal of non-performing loans, particularly: (1) disposal of NPL portfolios or pledge assets in part; (2) disposal of partnership interests and economic interests in offshore limited partnership funds; and (3) restructuring repayment arrangements, guarantees, securities and risk mitigation measures of NPLs to ensure maximum recovery of principal and interest for banks. Relevant highlighted experience includes*:

  • Advising a state-owned bank on its sale of several NPL portfolios at an aggregate consideration of more than HKD 300 million.
  • Advising a state-owned asset management company on its sale of the limited partnership interests and the economic interests in an offshore limited partnership fund at an aggregate consideration of USD 35 million.
  • Advising a state-owned asset management company on the debt settlement arrangements of a series of NPLs with an aggregated amount of USD 140 million.
