AnJie Broad Advises Jiangxi Copper on Acquisition of UK-Listed Company SolGold Plc

Jiangxi Copper Corporation Limited (“JCC”), through its wholly-owned subsidiary Jiangxi Copper (Hong Kong) Investment Company Limited (“JCHK”, and together with JCC, “Jiangxi”), successfully completed the scheme of arrangement acquisition (the "Transaction") of UK-listed company SolGold plc (“SolGold”) at a cash price of 28 pence per share, with a total transaction value exceeding £800 million (US$1.1 billion). AnJie Broad Law Firm (“AnJie Broad”), act as the leading counsel and the PRC legal counsel for this Transaction, coordinating a multi-jurisdictional legal team and providing full-process legal services. The Transaction successfully closed on March 4, 2026.

In accordance with the UK Takeover Code and the Companies Act 2006, on December 24, 2025, Jiangxi made a formal offer to SolGold. On February 23, 2026, the High Court of Justice in England and Wales (the “Court”) and the shareholder meeting of SolGold approved the Transaction. The Transaction was then sanctioned by the Court on March 2, 2026, and the Transaction formally became effective on March 4, 2026. SolGold is a world-class mineral exploration and development company, holding core assets with substantial copper reserves in Ecuador. Following this Transaction, Jiangxi has achieved a controlling layout in SolGold, which will significantly enhance its global copper resource reserves and supply capabilities, aligning with Jiangxi's overseas development strategy and further consolidating its strategic position in the global copper resource field.

AnJie Broad had previously been deeply involved in Jiangxi's stake-building transactions in SolGold, assisting Jiangxi in achieving an aggregate shareholding of 12.19% and becoming the largest shareholder of SolGold. In this Transaction, AnJie Broad continued to provide professional services to safeguard the entire transaction. For the Transaction involving multiple jurisdictions including the minland of China, Hong Kong SAR, the United Kingdom, Switzerland, Ecuador, Australia, and Canada, AnJie Broad worked with Norton Rose Fulbright and Bustamante Fabara, the global leading law firm in mining sector and Ecuador's premier law firm, respectively, to construct a multi-jurisdictional collaborative legal service system, efficiently completed key tasks such as cross-border regulatory compliance, due diligence, documentation drafting and reviewing, performance of shareholders and directors, and disclosure obligations. In response to the core legal issues involved in the Transaction, such as compliance requirements from multiple jurisdictions, complex merger and acquisition rules for listed companies, and the Stream and NSR arrangements, AnJie Broad leveraged its profound experiences in cross-border M&A and mining sector to accurately interpret legal requirements, assess legal risks, and strictly guard the legal documents, effectively ensuring the timely completion of the Transaction. Subsequently, AnJie Broad will continue to provide post-completion full-chain legal services to Jiangxi, supporting Jiangxi in achieving a smooth transition and stable operation of overseas assets.
