AnJie Broad Advises JCC Hong Kong Investment on Successful Acquisition of Shares of Dual-listed SolGold Plc

Recently, Jiangxi Copper (Hong Kong) Investment Company Limited (“JCCHK”), a wholly-owned subsidiary of Jiangxi Copper Company Limited (“JCC”, and together with JCCHK, “Jiangxi”), entered into a Share Purchase Agreement with SolGold Canada Inc. ("SolGold Canada"), pursuant to which it obtained approximately 5.24% of the ordinary shares of SolGold Plc ("SolGold"), a company listed on both the London Stock Exchange (LSE) and Toronto Stock Exchange (TSX) (LSE/TSX: SOLG) (the “Transaction”).
AnJie Broad, acting as legal counsel to Jiangxi, led and coordinated legal teams across multiple jurisdictions (including the UK and Canada) to provide comprehensive legal support throughout the entire process of the Transaction.
Following the completion of the Transaction, Jiangxi indirectly holds a total of 12.19% of the issued and outstanding ordinary shares of SolGold, thereby becoming its majority shareholder. Concurrently, Jiangxi may provide SolGold with technical consulting services as required, subject to mutual agreement, particularly regarding SolGold’s flagship Cascabel Project in Ecuador and other potential areas with high-grade copper reserves.
SolGold is a leading resources company focused on the discovery, definition, and development of world-class copper and gold deposits. This collaboration is expected to unlock synergies between the two parties by combining their respective strengths in resources, technology, and market access, driving shared growth and value creation. The Transaction aligns with Jiangxi’s international expansion strategy and marks a pivotal step in enhancing its global footprint and influence over world-class copper resources.
The Transaction spanned multiple jurisdictions, including Mainland China, Hong Kong, the UK, Canada, and Ecuador, and was subject to laws and policies governing investment, M&A, securities regulation, foreign investment review, and national security clearance in each jurisdiction. As lead counsel, AnJie Broad collaborated with Norton Rose Fulbright, a globally recognized law firm specializing in mining and securities, to provide end-to-end legal support. AnJie Broad played a pivotal role in formulating the deal structure, negotiating and revising transaction documents, conducting cross-border compliance risk assessments, and facilitating the closing process. Faced with complex multi-jurisdictional regulatory challenges, AnJie Broad leveraged its in-depth understanding of legal frameworks to coordinate cross-border efforts effectively, deliver compliant and pragmatic solutions, and ensure the Transaction’s smooth completion.
